Wroxton Mortgage Company Limited is a registered contributory mortgage broker.

The directors of Wroxton Mortgage Company are Adrian Sisson and Mr A J (Jim) Keegan.

Wroxton Mortgage Company has a wholly owned subsidiary nominee company, Wroxton Nominees Limited, which operates a trust account in accordance with the legal requirements for contributory mortgage brokers.

Wroxton Mortgage Company makes available to the public the opportunity to invest in registered first mortgages on properties in New Zealand.

A typical transaction has the following features:

  1. the total amount lent on security of the first mortgage is no more than 70% of the valuation of the property;
  2. One or more public investors contribute up to 71% of the total advance, being no more then 50% of the valuation of the property;
  3. the public investors take a first ranking registered mortgage as security;
  4. Wroxton Finance Limited and Canterbury Trustees (2007) Limited together contribute the balance of the advance, being 28% or more of the total advance, being 20% or more of the valuation of the property;
  5. Wroxton Finance and Canterbury Trustees (2007) take a second ranking registered mortgage, subordinate to the public investors’ first ranking mortgage.

For example, if a property had a valuation of $100,000, then the loan would be no more than $70,000, and of that $70,000:

  1. The public investor(s) would contribute $50,000 (being 50% of the valuation of the property) secured by a first ranking registered mortgage;
  2. Wroxton Finance and Canterbury Trustees would together contribute $20,000 secured by a second ranking registered mortgage.

All investors are individually listed as mortgagees on the mortgage. This means that the mortgage can only be released by the investors consenting to a mortgage discharge, once their investment contribution has been repaid.

All properties which Wroxton Mortgage Company plans to broker a mortgage over must be valued by an independent registered valuer. A copy of the valuation will be given to all contributors and inspection of the properties by potential contributors is welcome.

Interest payments are monthly, at the applicable interest rate at the time, at present 9.75% p. a. The minimum investment in a contributory mortgage brokered by Wroxton Mortgage Company is $20,000.

Wroxton Mortgage Company is owned by:

(a) a trust associated with Adrian Sisson, a director of Wroxton Finance Limited;
(b) Adrian Sisson and his wife, Wendy; and
(c) Canterbury Trustees (2007), the corporate trustee of a trust associated with the Edilson Family.

The shareholders in Wroxton Mortgage Company do not guarantee any contributory mortgage investments made through Wroxton Mortgage Company.

PAYMENT HISTORY OF WROXTON FINANCE AND RELATED COMPANIES OWNED BY ADRIAN SISSON, DIRECTOR OF WROXTON FINANCE

Adrian Sisson has been involved in property in many forms for some 34 years. Over that period he and his companies have borrowed tens of millions of dollars from many sources including banks, solicitors and private individuals.

In respect of those loans, every interest payment over that long period has been paid on time and every principal repayment has been paid as it fell due.

Every account incurred by any entity owned and run by Adrian Sisson has been paid in full as due.

In 1999 Thornton Estates Ltd, a property company owned 50% by Adrian issued a prospectus for funds attracting some $3 million from approximately 180 investors.

Over the next 4 years all interest and repayments of loans were made in full at the required times.

Adrian has managed multiple investments in his land development companies since 1996 and in Wroxton Finance Ltd over the last two years. All payments by those companies of interest and principal have been made on time.

Adrian, as a borrower or a lender, has had the confidence of banks, other lending institutions and investors over a long period of time and has proved with great pride that their confidence has not been misplaced.

When Adrian is making loan advances today, regardless of where the funds are sourced, he treats the transaction very seriously. All monies lent are precious and no one wants to make a bad investment.
